By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. Any use of our Services for illegal purposes is strictly prohibited and will be reported to appropriate authorities. Zyora Labs operates under the jurisdiction of India and adheres to all applicable Indian laws.

Acceptance of Terms

By accessing or using Zyora Labs' website, services, APIs, or any related products (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you and Zyora Labs, a company registered and operating under the laws of India, with operations based in Tamil Nadu.

By using our Services, you represent that:

You are at least 18 years of age

You have the legal capacity to enter into binding contracts

You are not prohibited from using our Services under applicable laws

If acting on behalf of an organization, you have authority to bind that organization

Prohibited Uses

You agree NOT to use our Services for any unlawful or prohibited purpose. The following activities are strictly prohibited:

Illegal Activities:

Using our AI models or services for any illegal purpose under Indian law or international law

Engaging in fraud, money laundering, or terrorist financing

Violating the Information Technology Act, 2000 or any amendments thereto

Circumventing any applicable export control laws or sanctions

Harmful Content & Activities:

Generating content that promotes violence, hatred, or discrimination

Creating deepfakes or synthetic media intended to deceive or harm

Producing content that exploits or harms minors in any way

Generating content that infringes intellectual property rights

System Abuse:

Attempting to reverse engineer, decompile, or extract our AI models

Using automated systems to scrape or extract data without authorization

Attempting to bypass security measures or access controls

Introducing malware, viruses, or other malicious code

Overwhelming our systems with excessive requests (DoS attacks)

Misrepresentation:

Impersonating Zyora Labs or our representatives

Falsely claiming affiliation with or endorsement by Zyora Labs

Using our Services to spread misinformation or disinformation

Misrepresenting the capabilities or outputs of our AI systems

AI Usage Guidelines

Our AI models and services are powerful tools that must be used responsibly. By using our AI Services, you agree to:

Responsible Use:

Use AI outputs as assistance, not as a replacement for human judgment

Verify AI-generated content before relying on it for critical decisions

Disclose when content is AI-generated where appropriate or required

Not use AI to automate decisions that significantly affect individuals without human oversight

Content Guidelines:

You are responsible for all content you generate using our AI models

AI outputs may not always be accurate, complete, or appropriate

We do not endorse or guarantee the accuracy of AI-generated content

You must review and take responsibility for any AI-generated content you publish or distribute

Prohibited AI Applications:

Generating content for illegal activities or purposes

Creating weapons designs or instructions for harmful activities

Producing content that could facilitate self-harm or harm to others

Developing AI systems intended to deceive or manipulate

Using our AI for surveillance or tracking without proper authorization

Intellectual Property Rights

Zyora Labs' IP:

All intellectual property rights in our Services, including but not limited to our AI models, software, algorithms, designs, trademarks, and content, are owned by or licensed to Zyora Labs. These Terms do not grant you any rights to our intellectual property except as expressly stated.

Your Content:

You retain ownership of content you create using our Services. However, by using our Services, you grant Zyora Labs a non-exclusive, worldwide, royalty-free license to use your inputs for the purpose of providing and improving our Services.

Feedback:

Any feedback, suggestions, or ideas you provide regarding our Services may be used by Zyora Labs without any obligation to you.

Third-Party Rights:

You must not use our Services in a manner that infringes the intellectual property rights of any third party. You are solely responsible for ensuring your use complies with applicable IP laws.

User Responsibilities

Account Security:

You are responsible for maintaining the confidentiality of your account credentials

You must notify us immediately of any unauthorized access or security breach

You are responsible for all activities that occur under your account

Compliance:

You must comply with all applicable laws and regulations in your jurisdiction

You are responsible for determining whether our Services are appropriate for your intended use

You must obtain all necessary consents and authorizations before using our Services

Accurate Information:

You agree to provide accurate and complete information when registering or using our Services

You must keep your account information current and up-to-date

Providing false or misleading information may result in termination of your access

Indemnification:

You agree to indemnify and hold harmless Zyora Labs, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our Services or violation of these Terms.

Disclaimers & Limitations

Service Availability:

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee uninterrupted, secure, or error-free operation of our Services.

AI Limitations:

AI models may produce inaccurate, incomplete, or biased outputs

We do not guarantee the accuracy, reliability, or suitability of AI-generated content

AI outputs should not be used as the sole basis for critical decisions

Limitation of Liability:

To the maximum extent permitted by applicable law, Zyora Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Maximum Liability:

Our total liability for any claims under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or INR 10,000, whichever is greater.

Governing Law - India

Applicable Laws:

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Compliance with Indian Regulations:

Information Technology Act, 2000 and all amendments

Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021

Digital Personal Data Protection Act, 2023

Consumer Protection Act, 2019

Indian Contract Act, 1872

All other applicable central and state laws

Jurisdiction:

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

Dispute Resolution:

Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiations for a period of thirty (30) days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.

Regulatory Compliance:

Zyora Labs complies with all applicable regulatory requirements in India, including but not limited to registration requirements, data localization requirements, and reporting obligations.

Termination

Termination by You:

You may terminate your use of our Services at any time by discontinuing use and, if applicable, closing your account.

Termination by Us:

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Reasons for termination may include:

Violation of these Terms

Illegal or harmful activities

Request by law enforcement or government authorities

Extended periods of inactivity

Discontinuation of our Services

Effect of Termination:

Upon termination:

Your right to use our Services ceases immediately

Provisions that by their nature should survive termination shall survive

We may delete your account data in accordance with our data retention policies

You remain liable for any obligations incurred prior to termination

Modifications to Terms

Changes to Terms:

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website or notification to you.

Notification of Changes:

Material changes will be communicated via email or prominent notice on our website

Continued use of our Services after changes constitutes acceptance

If you do not agree to the modified Terms, you must discontinue use of our Services

Service Changes:

We may modify, suspend, or discontinue any aspect of our Services at any time without liability. We will endeavor to provide reasonable notice of significant changes.

Severability:

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
